NOTICE OF ANNUAL MEETING OF STOCKHOLDERS<\/p>\n\n\n\n

July 25, 2019<\/p>\n\n\n\n

To the stockholders of Thermon Group Holdings, Inc.:
Notice is hereby given that the 2019 Annual Meeting of Stockholders (the “2019 Annual Meeting”) of Thermon Group Holdings, Inc., a Delaware corporation (the “Company,” “Thermon,” “we” or “our”), will be held on Thursday, July 25, 2019, at 11:30 a.m. Central Time, at the Omni Barton Creek at 8212 Barton Club Drive, Austin, Texas 78735 for the following purposes, as more fully described in the accompanying proxy statement (the “Proxy Statement”):<\/p>\n\n\n\n

(1) to elect the seven director nominees named in the Proxy Statement, each for a term of one year;<\/p>\n\n\n\n

(2) to ratify the appointment of KPMG LLPas the Company\u2019s independent registered public accounting firm for the fiscal year ending March 31, 2020;<\/p>\n\n\n\n

(3) to approve, on a non binding advisory basis, the compensation of our Named Executive Officers, as described in the Proxy Statement; and<\/p>\n\n\n\n

(4) to transact such other business that may properly come before the 2019 Annual Meeting and any postponement or adjournment thereof.<\/p>\n\n\n\n

We are pleased to continue utilizing the United States Securities and Exchange Commission’s “notice and access” rules. Accordingly, we are providing stockholders access to our proxy materials over the Internet, which reduces the cost and environmental impact of the 2019 Annual Meeting. On or about June 14, 2019, we began mailing a Notice of Internet Availability of Proxy Materials (the “Notice”) to all stockholders of record as of June 3, 2019 (the “Record Date”). The Notice contains instructions on how to access our proxy materials as well as information on how to vote your shares. Only holders of record of our common stock as of the close of business on the “Record Date” are entitled to receive notice of, attend and vote at the 2019 Annual Meeting.<\/p>\n\n\n\n

It is important that your shares are represented and voted at the meeting and, whether or not you expect to attend in person, we encourage you to vote as promptly as possible to ensure that your vote is counted. Thank you for your continued support.<\/p>\n\n\n\n
